Need Advise (Random Shut Downs) help appreciated !

I'm experiencing some random shut downs only when computer has been off for a long period of time, Lets say i haven't turn on the computer for more then 2-3 days and i turn the computer back on, it will restart maybe about 3-5 times, then finally it will stay on, Passes POST. Right now the computer has been on for about 5 days and hasn't shut down since. It's funny it's like the computer warms up and doesn't turn off, lol. I've check Dump files none have been created, ran memtest NO errors, bought a new Power Supply Antec 500 Watts, Even tested it out with my power supply testers passed, Switched out HDD and bought a new Seagate HDD, and Did a clean Install of windows XP SP2, And still Does it At this point I'm starting to think the mobo is faulty.I have a MSI - KT6V 512 MB Ram , NVIDIA GeForce FX 5500http://www.msicomputer.com/product/detail_spec/product_detail.asp?model=KT6V-LSR
What could it be? at this point I've ran out of ideas please help
