I need choosing a mATX motherboard

So I'm replacing my 6400+ with an E8400 and I need a good mATX motherboard to compliment it. I did some research and I found two decent boards but I'm unsure of which one to get.

I'm not sure if I'm going to overclock the processor, but I would atleast like the option to do it later on. I know that my current Gigabyte board is lacking in the overclocking options, but I'm not familiar with the Intel counterparts. I don't have a lot of experience with ASUS motherboards, but I hear that the ASUS P5E-VM is an overclockers dream, but would it be overkill if I forego overclocking? Anyone have any first hand experience on either of these motherboards? Any advice you can share would be greatly appreciated!!
