help upgrading friend to windows seven (digital river)

my friends is using XP 32bit, bought and got the iso for windows 7 pro 64-bit, it takes forever at the starting windows screen, and then it hangs at wallpaper w/ cursor after that. Disabled USB and network, and pretty much every non-essential in bios and can't figure out what's not working. At this point we feel like we've tried everything besides a USB install.

Was going to follow one of the various articles on a clean install but it doesn't seven seem possible if this is the step we get stuck at.... thanks

Sorry for starting with the basics, but heres some first steps.

Are you sure the computer is 64 bit capable?

Have you tried formatting the HD and installing Win7 from scratch. If you can, I'd recommend doing that. You'll be able to activate it even if its an upgrade key through a couple different methods.
