oem/system builder copy is usually similar price to the upgrade. only downside is according to the license its not legal to move that copy to a new machine, and no support from ms.
 
only reason one shouldn't would be cost. its questionable whether its enough of an advancement to justify full retail price if you already have vista... but if you can and are willing to spend the money, there isnt any reason not to.
