Been out of the loop awhile, is this a worthwhile upgrade?

I can pickup the following for $65.00:

Intel d945gtp motherboard
3ghz processor (I'm assuming is dual core)
512mb of DDR2 ram

Here's what I've got now:
Asus A8N SLI 939 motherboard
AMD 64 3000+ processor (not dual core)
1gig of PC3200 ram

The setup I have now is fine. I was thinking of building a cheap htpc for my mom for mother's day and found this, now I'm thinking of just using my current parts for her setup and upgrading my own while I'm at it.

edit: jesus, I've been registered here almost 6 years
 
i guess it depends on the CPU, but that is cheap..

for a HTPC most DVR frontend/backend combos need more RAM than that...
 
Theres no way thats you can get a 3Ghz dual core combo for that price. Dollars to donuts that it's a Prescott 531 which would make this a terrible upgrade and/or a terrible HTPC for your mom.
