Antec Earthwatts 380 watt

Probably. The biggest load on one of the 12v lines is going to be during spin up of the 4 hard drives, and powering the 9600GT. A 7200.10 for example has a peak startup current rating of 2.8A on 12v, and during typical operation, around 9W average on 12v. The 9600GT is spec'd at 95W max, although it uses less in games (~60W).

I use an EA380 in a system with a modestly overclocked Q8200 @ 2.8GHz, 8GB, HD4850, one hard drive and ann optical drive.

It will be plenty. However, should you upgrade to a better video card or a quad-core CPU in the future, it would be wise to upgrade your PSU as well.

A client give me the powersupply...

I was planing to get a Phenom 2 720 & Gigabyte GA-MA770-UD3 and replacing the 320 gig (failing) and 2 x 120 gigs into one 640 gig or I should get a external WD 640 GIG?

You should be okay with those upgrades. As for whether you want to replace your drives or get an external, that's something you've got to figure out for yourself based on your needs.
