Several things have happened to influence the shareholder’s vote for Dell to go private: an interested party has dropped out of the negotiations, Carl Icahn is reportedly walking away from the fight he began and now the vote seems to balance on the recommendations of two proxy firms. The vote is to be held on July 18th.

The opinions of those firms will carry a lot of weight among certain institutional shareholders. A recommendation against the buyout by either firm — ISS in particular — could sway enough shareholders that its approval might be in doubt.
 
Thank God Carl Icahn is walking away. If he would have won the bid, you would have watched Dell slowly be picked apart and then dismantled as a company. I hope Mr. Dell can win this and take the company in a new direction that will bring some needed innovation.
