Indexing can be disabled for most people. Vista will basically randomly access the HDD, generally while not in use. It wouldn't shock me to see it doing it while a process has been running for a while, but no keyboard/mouse activity is going on...

I'd update/try different versions of the NIC's driver. If you hardcode the speed/duplex make sure to remember that when you switch networks with different settings.

edit: if sysprep fails 10-1 you can do an in-place reinstall of windows and that'll generally fix it.
