You should probably answer the sticky questions, but looking at your current system, I think you should just get that GPU and, depending on you current CPU cooler solution, a good CPU cooler so you can OC your i5 and call it the day.

Be careful that you don't over think the choice.
Both the Strix and MSI card are effectively silent at idle and when you watch movies. When you game both of them will spin up but using headphones I don't think you'll notice the difference between the two.

I cannot answer the first part of your question other than passive cooling (fanless) there is no silent way to cool your CPU. With respect to the GPU though I think you should stick with the ASUS Strix because it IS silent up to 60degrees (disregarding coilwhine).
You could consider the Haswell T CPUs (35w or 45w) as they will require less to cool and maybe the Superflower Leadex Gold or Platinum PSUs if you can get them (0rpm fan at less than 40% load possible). Also if possible at all forget about spinning discs if you don't need 3tb storage.

I have the I5-4690K stable now at 4.5GHz with 1.2V, tested with OCCT large data set for 8+ hours and max temps at 68C and the H100i GTX fan DC control set to "silent" in the fan monitor bios setting.
The Strix is currently boosting at 1.403MHz stable (Furmark Firestrike)...
