So I picked both of these up for a quick comparison, the price was similar(within $20 difference) I figured the Behringers did look better, but reviews suggested the AV-40s are much better, I decided to give it a shot any way.
The Behringer MS40s plain suck :/ they sound bad, the mid range sounds like it has an echo / waaa type sound, the bass is, well it's sort of hard to hear with all the noise in the mids, the highs were good about the only good thing about these speakers acoustically, they do how ever look good so if you want some desk decoration......
The AV40s are pretty much what everyone says they are, the best bang for the buck, worth the extra $20, the mids are not over powering or echoing, the highs are fairly tight, and these give enough bass for light listening. much more harmonized sound then the MS40s.
All tested with an X-FI Prelude =p

these are now replacing my Klipsch V2 400s, which I was using as a 2.1 setup for the last while, otherwise had them since 2000.
