Are there any free softwares out there that are like remote assistance? Seems msn wont allow remote assistance from a winxp to a windows 2000 pro!

How is remote assistance a security flaw? It's based off the RDP protocol which has been around years and is regarded as being quite secure.
Homer - You may want to look into NetMeeting's desktop sharing or VNC.

I have VNC but I can only View. I want to take control of the PC.

uhhh my job as a network administrator would be a nightmare without remote assitant / RDP / VNC . You obviously have not worked in a large scale corporate I.T. environment. More over, a computer is only as secure as you make it.
You should be able to interact with VNC. Try tight vnc, its free and it works well enough.

I can only view with tight VNC. I need to have total control! Like I am on the computer. Like remote assistance!

I haven't used VNC extensively (I use other programs), but you CAN take control. Re-check your configuration.
I was using TightVNC for a while. It's really preference because Remote Assistance works great too.

I use RDC everyday and I LOVE it. It's damned efficient, free, and runs a lot faster than pcanywhere did. God I hate pcanywhere some days. :p

Homer, you probably installed a viewerless version, so machines can take control of you only. Usefull for client install's that don't need to be viewers, but not what you need.
Download the full client.

My statement was based on what I think of it. I know it was a bit biased. Basically what I was saying is I would hate to have it running on my computer. There IS NO WAY I want remote assistance invitations being sent to my computer!! I HATE gadgets like that!! I value my privacy greatly!!

Well, when a remote assistance invitation is sent to YOUR computer, it is asking you to connect to whoever's machine the invite was sent from. Not to take your computer over.
I can't send an invite to you and take over your computer. You have to send it to me via MSN Messenger, or as a file through email or whatever. There is a nice authentication process involved, so it is pretty secure. You can take off your tinfoil hat and sleep again at night. ;)

More FUD, I brought my waders this time.
RDP *is* secure. Your privacy can only be breached if you allow someone to take control. Talking down about a product because you misunderstand it is not a good idea.
If it's not for you, great, don't use it. It may be the perfect tool for someone else. I couldn't do my jorb w/o RDP.

Try MSTSC.exe. AKA "Remote Desktop". Should work for you, OP. Just a thought. :)
