I've got 32 bit Windows Vista Home Premium, And if I then want Vista 64 bits Ultimate
(I have an Intel Quad CPU and that is 64 bit supported.)
Is it just to install the new Vista and take upgrade in the install menu?
Or do I have to do something ells?
Please explain it easy if you can :)

you have to do a fresh install, you can not upgrade 32 bit to 64 bit

Yep. There is no such thing as an "upgrade" from Vista 32 to Vista 64. They are two (in the ways that count) completely different OS's.

The gist is you will need to start fresh, so backup your data somewhere else.
If you don't have the 64-bit install DVD, you can order them for ~$10 from Microsoft.
Take a few minutes to find some 64-bit drivers first (especially for your SATA controller if it doesn't have an IDE compatibility mode).
Have fun.

Why not just install Vista Premium x64 for free?
If it's an OEM Vista Premium they most likely do not have x64 media nor does the OEM license include x64.
